Technology Law Alliance advised Hitachi Data Systems on its proposed subcontract with a UK-based systems integrator for the provision of IT storage systems and services to a Central Government department.
We identified several key risk areas that required further discussion and negotiation, including:
- the lack of definition in service levels and service credit arrangements
- the warranties that had been "flowed down" from the prime contract
- the scope of the exclusions and limitations of liability, and their relevance to the particular products and services to be provided
The firm subsequently advised HDS on the more detailed drafting changes that were necessary to bring the subcontract into line with the commercial discussions. We were able to apply its experience of public sector contracts in order to identify provisions that were likely to be non-negotiable.
